Terms of Service (EULA)

Between PalomaFinTech LLC and the merchant. Draft of September 4, 2026, pending final review.

1. Parties and business use

These terms are between PalomaFinTech LLC (“Paloma”) and the business that installs or connects the service (“merchant”). The service is for business use only.

2. Service, plans and billing

Paloma provides an AI receptionist, phone ordering and business chat over the merchant's Clover account. Plans, usage limits and any per-minute charges beyond a plan are shown in the app before they apply. Billing runs through the Clover App Market for merchants who install from it, or through Stripe for merchants who subscribe directly. Taxes may apply. Refunds follow the policy shown at purchase.

3. Merchant responsibilities

Use the service lawfully; keep hours, menu and policies accurate; inform staff that calls are handled by an AI; comply with call-recording and SMS consent rules in your jurisdiction; review and approve actions that write to Clover, move money or contact people, where the app asks for approval.

4. AI disclosure and limitations

The assistant identifies itself as an AI and may make mistakes. Orders are read back and confirmed by the caller before they are placed. The merchant remains responsible for fulfilment and pricing.

5. Payments

Payments are processed by Clover. Paloma does not handle card data.

6. Data

The merchant owns its data and grants Paloma a licence to process it to provide the service. Data is not used to train models. Retention, deletion and export follow the Privacy Policy.

7. Availability and support

Paloma aims for continuous availability with announced maintenance windows. Service credits apply to Enterprise agreements only.

8. Intellectual property

Paloma retains rights to the service. Feedback may be used to improve it. Clover is a trademark of Clover Network, LLC; Paloma is an independent developer.

9. Term and termination

Either party may end the agreement at any time. Uninstalling the Clover app revokes access; merchant data is deleted within 30 days.

10. Warranties, liability, governing law

The service is provided as is. Liability is limited to the amounts paid in the previous twelve months, to the extent permitted by law. Governing law and dispute resolution will be stated in the final version. Contact: legal@palomaceo.ai.
